Terms of Service

These terms govern your use of Soreng & Co.'s bookkeeping and finance operations services. Please read them carefully.

1. Acceptance of Terms

By accessing or using the website, services, or any content provided by Soreng & Co. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and clients who access or use our services. Your continued use of our services after any modifications to these Terms constitutes your acceptance of those changes.

2. Description of Services

Soreng & Co. provides bookkeeping, accounting, and finance operations services to businesses across multiple industries. Our services include but are not limited to:

  • Bookkeeping and financial record maintenance
  • Full-service bookkeeping including accounts payable and receivable management
  • Accounting and financial reporting
  • Finance operations support including payroll processing and tax preparation assistance
  • Industry-specific bookkeeping tailored to your business sector
  • Financial consulting and advisory support as part of engaged services

The specific scope of services for each client will be outlined in a separate service engagement letter or agreement. In the event of any conflict between this Terms of Service and a service engagement letter, the engagement letter shall govern with respect to that specific engagement.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Be a business owner, authorized representative of a business, or an individual authorized to enter into binding agreements on behalf of a business
  • Have the legal capacity to enter into these Terms and comply with all applicable laws and regulations

By using our services, you represent and warrant that you meet all of these eligibility requirements.

4. Client Obligations

As a client of Soreng & Co., you agree to:

  • Accurate Information — Provide accurate, complete, and timely financial records, documents, and information necessary for us to perform our services
  • Timely Communication — Respond to our requests for information or clarification in a timely manner to avoid delays in service delivery
  • Access Authorization — Provide authorized access to relevant financial systems, bank accounts, payment platforms, and accounting software as needed for service delivery
  • Compliance — Ensure that your business operations comply with all applicable laws, regulations, and tax obligations
  • Review — Review and approve financial reports, tax filings, and other deliverables within the agreed-upon timelines

Failure to fulfill these obligations may result in delays, inaccuracies in deliverables, or suspension of services. Soreng & Co. shall not be held liable for errors or omissions resulting from incomplete, inaccurate, or late information provided by the client.

5. Fees & Payment

  • Fee Structure — Service fees will be outlined in your service engagement letter. Fees may be structured as monthly retainers, project-based fees, or hourly rates as agreed upon
  • Invoicing — Invoices will be issued according to the schedule outlined in your engagement letter. All fees are in Indian Rupees (INR) unless otherwise specified
  • Payment Terms — Payment is due within 15 days of the invoice date unless otherwise agreed. Accepted payment methods include bank transfer, UPI, and other methods as communicated
  • Late Payments — Late payments may incur interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower
  • Additional Services — Services outside the scope of the engagement letter will be billed separately at agreed-upon rates
  • Taxes — All fees are exclusive of applicable taxes (including GST). Applicable taxes will be added to your invoice

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or confidential information obtained during the course of the service engagement.

  • Our Commitment — We will not disclose your financial data, business information, or any confidential materials to third parties without your written consent, except as required by law or as necessary to deliver our services (e.g., sharing data with your CPA with your approval)
  • Your Commitment — You will not disclose our proprietary methodologies, processes, pricing structures, or other confidential business information to third parties
  • Duration — Confidentiality obligations survive the termination of the service engagement and remain in effect for a period of 3 years

7. Intellectual Property

  • Our Content — All content on our website, including text, graphics, logos, images, software, and templates, is the property of Soreng & Co. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent
  • Your Data — You retain all ownership rights to your financial data, business records, and documents that you provide to us. We claim no ownership over your data
  • Work Product — Financial reports, statements, and work product created specifically for your engagement become your property upon full payment of all fees

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Soreng & Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
  • Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to us during the 12-month period preceding the event giving rise to the claim
  • We are not responsible for errors in financial records resulting from inaccurate or incomplete information provided by you or third parties
  • We are not responsible for decisions made based on financial reports or advice provided as part of our services. Our services are advisory in nature and do not guarantee specific business outcomes

We are not a registered CPA firm and our services do not constitute audit, review, or attest services. For tax filing and audit services, please consult a licensed tax professional or CPA.

9. Indemnification

You agree to indemnify, defend, and hold harmless Soreng & Co., its owners, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms of Service
  • Your violation of any applicable law or regulation
  • Inaccurate or misleading information you provided to us
  • Any dispute between you and a third party related to your business or financial matters

10. Termination

  • By You — You may terminate our services at any time by providing 30 days' written notice
  • By Us — We may terminate or suspend services if you fail to pay invoices within 30 days of the due date, breach these Terms, or fail to provide necessary information or access for an extended period
  • Effect of Termination — Upon termination, you are responsible for payment of all fees earned through the termination date. We will provide a final transition report and return all your data and documents within 30 days of termination
  • Survival — Sections on confidentiality, limitation of liability, indemnification, and dispute resolution survive termination of these Terms

11. Dispute Resolution

  • Governing Law — These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions
  • Good Faith Negotiation — In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation for a period of 30 days
  • Mediation — If negotiation fails, both parties agree to submit the dispute to mediation in Siliguri, West Bengal, India before pursuing litigation
  • Jurisdiction — If mediation is unsuccessful, the dispute shall be subject to the exclusive jurisdiction of the courts located in Siliguri, West Bengal, India

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms on our website with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms. We will make reasonable efforts to notify existing clients of material changes via email.

13. General Provisions

  • Entire Agreement — These Terms, together with any service engagement letter, constitute the entire agreement between you and Soreng & Co. regarding your use of our services
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect
  • Waiver — Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision
  • Assignment — You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity
  • Force Majeure — Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures
